Terms of Service

These terms govern your use of Schematic. Please read them carefully, by placing an order, you agree to all of them.

1. Who we are

Schematic ("Schematic", "we", "us", "our") is a website-generation service operated by Brianna Brunner, an individual proprietor based in the United States, doing business as Schematic. You can reach us at support@schematic.work.

These Terms form a binding agreement between you and Schematic. If you are placing an Order on behalf of a company, you confirm you are authorized to bind that company, and "you" means that company.

You must be at least 18 years old and able to form a binding contract. You must provide accurate information and keep your account credentials secure. You are responsible for activity under your account.

We authenticate accounts by emailed sign-in link. Anyone with access to your email address can access your account, so keep that mailbox secure.

4. The services

4.1 Tiers

Page allowances apply to top-level pages. Subpages and the auto-included Terms and Privacy pages do not count toward the allowance.

4.2 What every paid Build includes

Every paid Build includes, at no additional charge: a custom design and bespoke layouts; all page copy written from your Brief (or your own copy, if you supply it); baseline SEO (meta tags, Open Graph tags, JSON-LD structured data, sitemap, robots.txt); a cookie consent banner; auto-generated Terms and Privacy pages templated for your business; a contact form delivered through Schematic's hosted endpoint; bot protection via Cloudflare Turnstile; a Google Maps embed and a scheduling embed where requested; full responsiveness; and a target accessibility level of WCAG 2.1 AA.

There are no paid add-ons. Specific implementations may evolve as we improve the platform; the list above represents the floor, not the ceiling.

5. Pricing & payment

5.1 Currency & processor

All prices are in US dollars. Payments are processed by Stripe. We do not receive or store your full card details. Your use of the checkout is also subject to Stripe's terms.

5.2 One-time charges

Tier fees are charged once, at checkout, before we begin your Build. Where you have also selected hosting, the first hosting period is billed on the same invoice, so you enter your card once.

5.3 Hosting subscription

Schematic Hosting is $35 per month, billed monthly in advance via a Stripe subscription, with no setup fee. It renews automatically until you cancel. We will give at least thirty (30) days' notice by email before any price change takes effect on your subscription.

5.4 Tier upgrades

If you upgrade from Schematic to Schematic Studio, you pay only the difference between the two Tier fees.

5.5 Promotional codes

We may issue promotional or comped codes. Unless stated otherwise, they are single-use, non-transferable, have no cash value, cannot be applied retroactively to a completed purchase, and may be withdrawn at any time before use. A code that reduces your total to zero does not change any other part of these Terms.

5.6 Taxes

Prices exclude any sales, use, VAT, GST, or similar taxes. Where we are required to collect such taxes, they will be added at checkout. You are responsible for any taxes arising from your own use of the Build.

6. Order process & turnaround

After payment we generate your Build from your Brief and deliver a preview link by email. The forty-eight (48) hour target for paid Tiers is measured from successful payment, and is a good-faith target rather than a guaranteed deadline. It is paused for any period in which we are waiting on something from you, for example copy or images you elected to supply later.

If your Brief is incomplete, internally contradictory, or would require us to publish content we reasonably believe is unlawful or violates section 14, we will contact you rather than guess, and the clock pauses until we hear back.

Free Tier Builds are generated automatically and typically deliver in about five minutes. No delivery target applies to the Free Tier.

7. Revisions & regenerations

Each paid Build includes one (1) complimentary regeneration, a full re-run of your Brief with updated input. To use it, submit a change request at the URL in your delivery email. We aim to redeliver within the original turnaround target. The Free Tier does not include a complimentary regeneration.

Additional regenerations are $10 each, purchased at the time you request them.

Separately, if you hold an active hosting subscription, you may edit text and images on your live site yourself, without limit and at no cost, through the /admin/ panel. Those edits are not regenerations and do not consume your complimentary one.

8. Schematic Hosting

8.1 What it includes

Schematic Hosting includes: deployment to a managed Cloudflare Pages backend; SSL certificates; the /admin/ panel for editing copy, images, and where applicable a designated content section; connection of a domain you own; storage for your site assets; and support by email. We make commercially reasonable efforts to keep Hosted Sites available. We do not offer an uptime service level agreement.

8.2 If a payment fails

If a hosting payment fails, Stripe retries automatically and the following applies. We describe it precisely so there are no surprises:

We strongly recommend exporting your site files before any of these stages if you do not intend to continue hosting.

8.3 Cancellation

You may cancel hosting at any time from your billing panel or by emailing us. Cancellation takes effect at the end of the then-current billing period. We do not pro-rate unused days. After cancellation your site is taken offline within seven (7) days unless you have made other arrangements, such as exporting the files to host elsewhere.

9. Optional integrations

Some features connect your Build to third-party accounts you control. They are optional, and each is governed by that third party's own terms in addition to these.

9.1 Merchant payments

You may connect a Stripe account so your own site can accept payments. The connected account is yours. You open it through Stripe's own onboarding, you agree to Stripe's terms directly with Stripe, and you manage it in the Stripe-hosted dashboard we link you to.

Payments go directly to you. Charges are created on your Stripe account, not ours. Funds from your customers land in your balance, and Stripe's processing fees are deducted there under Stripe's standard pricing. Schematic does not take custody of your sales revenue.

Schematic charges no commission on your sales. If we ever introduce a platform fee, we will tell you what it is before it applies to you.

Refunds, chargebacks, and other reversals on your sales are settled against your own Stripe balance, and you handle them from your Stripe dashboard. You are responsible for: what you sell and whether you are permitted to sell it; fulfilling those sales; honoring your own refund and cancellation policy; your own tax obligations; and giving your own customers their own terms and privacy disclosures. Schematic is not a party to any contract between you and your customers, and does not adjudicate disputes between you.

We provide the connection and the checkout interface on your site. We do not process, hold, or disburse your funds, and we are not your payment processor. Payment processing is provided by Stripe under your agreement with Stripe, and questions about settlement, payouts, holds, or account verification are between you and Stripe.

We may disconnect the integration if the connected account is used in breach of section 14 or of Stripe's own terms.

9.2 Product catalog

You may connect a Shopify store so product information can appear on your Build. You are responsible for the accuracy of that product data, including prices, availability, and descriptions. You may disconnect at any time.

9.3 Blog

Where a blog is enabled on your Build, you are the publisher of anything you post, including scheduled posts. Section 14 applies to that content.

10. Domains

We do not sell or register domains. You register your domain with the registrar of your choice and remain its owner and registrant. On request we will connect a domain you own to your Hosted Site, which normally takes a few minutes. Free Tier sites are served on a schematic.work subdomain and cannot use a custom domain.

We are not responsible for your domain's registration, renewal, expiry, transfer, or registrar-side settings.

11. Ownership & intellectual property

11.1 Your Build

On full payment, you own the delivered Build: its HTML, CSS, JavaScript, and generated copy, together with the right to use, modify, host, and relicense it however you like. You may export it and host it elsewhere at any time.

11.2 Our retained rights

We retain ownership of: the Schematic platform, its generation engine, prompts, templates, design systems, and tooling; our name, logo, and branding; and any improvements to the platform arising from servicing your Order, provided they include none of your confidential information.

Unless you ask us not to, we may display your Build and business name as a portfolio example. Email us and we will remove it.

11.3 Free Tier footer

Free Tier Builds carry a "Built with Schematic" footer credit. Removing, hiding, or obscuring it is a breach of these Terms. Paid Builds carry no such requirement.

12. Your content & license to us

You keep ownership of Your Content. You grant us a non-exclusive, worldwide, royalty-free license to store, reproduce, adapt, and display it strictly as needed to generate, deliver, host, and support your Build. That license ends when we delete your content, except for backups and archives retained for the periods described in section 8.2.

You confirm you have the rights to everything you supply, including images, logos, trademarks, and any text written by someone else. Supplying content you do not have rights to is the single most common way an Order goes wrong, and you are responsible for it.

13. AI-generated content

Builds are produced with substantial assistance from AI systems, including large language models. This has practical consequences you should understand:

You are the publisher of your site. Final responsibility for what it says rests with you.

14. Acceptable use

You may not use Schematic to create, host, or distribute content that: is unlawful, infringing, defamatory, or fraudulent; depicts or sexualizes minors; harasses or incites violence against any person or group; sells regulated goods or services you are not licensed to sell; impersonates another person or business; distributes malware or facilitates phishing; or is designed to deceive people about who they are dealing with.

We may refuse, suspend, or remove any Build that we reasonably believe violates this section. Where we do so at generation time, before hosting has begun, we will refund the Tier fee.

15. Third-party services

Delivering the service requires the following categories of provider. Each processes only what is necessary for its function, and our Privacy Policy describes the data involved:

We may change providers as the platform evolves. We are not responsible for outages, changes, or acts of these providers, though we will make reasonable efforts to mitigate their effect on you.

16. Refunds & cancellation

16.1 One-time Tier fees

Tier fees are non-refundable once we have started your Build, except where required by applicable consumer-protection law.

If we are unable to deliver a Build that materially conforms to your Brief, and you have given us a reasonable opportunity to fix it (which is what your complimentary regeneration is for), we will refund the Tier fee in full. "Materially conforms" means the Build follows your specified sitemap, reflects a recognizable interpretation of your stated aesthetic and brand inputs, and works on current browsers without serious defects. Subjective dissatisfaction with the result, after your complimentary regeneration has been used, is not a basis for a refund.

Fees for additional purchased regenerations are non-refundable once that regeneration has been run.

16.2 Hosting

Hosting is non-refundable for the current period at cancellation. You will not be billed for further periods after you cancel. We do not pro-rate partial periods.

16.3 Chargebacks

Please contact us at support@schematic.work before initiating a chargeback. Filing one without first attempting resolution is a breach of these Terms. In response to a disputed chargeback we will provide the payment network with your Brief, payment record, and delivery records.

17. Termination

You may end your relationship with Schematic at any time by canceling your subscription and ceasing to use the service.

We may suspend or terminate your access immediately, without prior notice, if you (a) materially breach these Terms and fail to cure within seven (7) days of written notice, where the breach is curable; (b) become the subject of a bankruptcy or similar proceeding; or (c) use the service in a way that exposes Schematic, our other customers, or third parties to risk of harm or legal liability.

On termination, the provisions that by their nature should survive will survive, including ownership, payment of accrued fees, disclaimers, limitation of liability, indemnification, and dispute resolution.

18. Warranties & disclaimers

Schematic is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or trade usage.

We do not warrant that the service will be uninterrupted or error-free, that a Build will achieve any particular search ranking, traffic level, conversion rate, or business outcome, or that generated content is free of factual error. Some jurisdictions do not allow certain exclusions, in which case they apply only to the extent permitted.

19. Limitation of liability

To the fullest extent permitted by law, Schematic will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility.

Our total aggregate liability arising out of or relating to these Terms or the service, regardless of the form of action, is limited to the greater of (a) the total fees you paid to Schematic in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred dollars ($100). Some jurisdictions do not allow these limitations, in which case they apply only to the extent permitted.

20. Indemnification

You agree to indemnify and hold harmless Schematic from any claim, demand, loss, or expense, including reasonable legal fees, arising from Your Content, your use of a Build, your breach of these Terms, your violation of any law or third-party right, or any transaction between you and your own customers.

21. Changes to the service or these terms

We may modify the service or these Terms. For material changes we will give at least thirty (30) days' notice by email to the address on your account, and post the updated version here with a new version number and date. Continuing to use the service after a change takes effect means you accept it. If you do not accept it, your remedy is to cancel before it takes effect.

22. Governing law & dispute resolution

These Terms are governed by the laws of the State in which Schematic's proprietor resides, without regard to conflict-of-laws rules. Before filing any claim, you agree to contact us at support@schematic.work and attempt in good faith to resolve the dispute informally for at least thirty (30) days. Nothing here prevents either party from seeking injunctive relief for infringement or misuse of intellectual property, or from bringing a claim in small claims court.

23. General provisions

If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy, are the entire agreement between you and Schematic regarding the service. Neither party is liable for delay or failure caused by events beyond its reasonable control.

Reach us at support@schematic.work. We will send notices to the email address on your account, and it is your responsibility to keep it current.

For DMCA takedown notices, include all elements required under 17 U.S.C. § 512(c)(3): identification of the copyrighted work, identification of the allegedly infringing material with a URL, your contact information, a good-faith statement, a statement under penalty of perjury, and your physical or electronic signature.

Schematic is operated by an individual proprietor. These Terms reflect a small operator providing a defined set of services. As Schematic's operations evolve, these Terms may be updated to reflect a different legal structure or expanded offerings.
